Terms of Service

Who this is with

These terms are between you (“you”, the client) and Vestanam Solutions Private Limited, CIN U72900MH2019PTC320223, registered office 7, Wadgaon Road, Kale Layout, Yavatmal, Maharashtra 445001, India (“we”, “us”). loopwyn is our product. By using the service you accept these terms.

The service

loopwyn prepares outbound sales material: it discovers companies matching a customer profile you define, identifies decision-makers, verifies contact details, scores fit, and drafts first messages for your review. Messages on WhatsApp and LinkedIn are sent by you, from your own accounts — we never send them for you, and we never post or message under your name. Cold email, where you enable it, is sent through a dedicated sending domain provisioned for that purpose.

We agree a daily volume of prepared leads with you during onboarding. Volume depends on how many suitable companies exist in your market, and we would rather deliver fewer good leads than pad the number — if we expect to fall short we will tell you rather than let you find out from the queue.

Your responsibilities

• Use loopwyn only for lawful business-to-business outreach.
• Honour every opt-out. Opt-outs are recorded automatically and are never contacted again; do not work around that by contacting someone through another route.
• Do not use the service to send unlawful, deceptive, or harassing messages, or to contact people outside a legitimate business context.
• Review before you send. You are responsible for the content of messages you send, including any edits you make to a draft.
• Keep your account credentials secure, and tell us promptly if you believe they have been compromised.
• Confirm that you have a lawful basis for contacting the people you ask us to find, in the markets you ask us to search.

What we do and do not promise

We prepare leads and drafted messages, and we take accuracy seriously: contact details are verified where verification is possible, and we record how each conclusion was reached so you can judge it. We do not guarantee replies, meetings, or revenue, and nothing on this site should be read as such a promise.

Lead data is gathered from public sources and can be wrong or out of date — people change jobs. Tell us when a lead is wrong; it is the fastest way we improve, and we would rather hear it than not.

Billing

• Invoiced monthly in arrears — at the end of each service month, on a GST invoice from Vestanam Solutions Private Limited (GSTIN 27AAGCV7781C1Z1).
• Prices quoted are exclusive of GST, added at the prevailing rate. Indian clients can claim input credit in the normal way; clients outside India are invoiced as an export of services.
• Payment is due within 15 days of the invoice date, by bank transfer.
• Cancel anytime — one call or one email. No notice period, no exit fee, no cancellation charge. We stop the next morning’s run and you keep everything already delivered.
• We may suspend the service if an invoice is more than 30 days overdue, after telling you first.

Data protection

Where we process personal data on your behalf, the Data Processing Addendum applies and forms part of these terms. You are the controller of that data and we are your processor. External clients sign the DPA before we begin processing — not afterwards.

Confidentiality and your data

Each side keeps the other’s confidential information confidential. Your customer profile, your templates and your leads are yours. We do not use one client’s data to serve another, and each account is isolated from every other at the database level. On termination we return or delete your data as set out in the DPA.

Intellectual property

We own the loopwyn platform and everything in it. You own your data and the messages you send. You may use the leads and drafts we prepare for your own business without restriction; you may not resell the platform or its output as a competing service.

Liability

Neither of us excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

Subject to that, neither of us is liable for indirect or consequential loss, loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of or in connection with these terms is limited to the fees you paid us in the three months before the event giving rise to the claim.

Termination

Either of us may end the agreement at any time on written notice, with no notice period. Either of us may end it immediately if the other commits a material breach and does not fix it within 14 days of being asked. On termination we stop processing, and handle your data as set out in the DPA.

Changes to these terms

We may update these terms. For material changes we will give you 30 days’ notice by email; if you do not accept them you may cancel before they take effect, on the usual terms — which is to say, immediately and at no cost.

Governing law

These terms are governed by the laws of India, and the courts at Pune, Maharashtra have exclusive jurisdiction. We would rather resolve a disagreement by talking first, and ask that you write to us before starting proceedings.
